Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and seeshare LLC (“seeshare,” “we,” “us,” or “our”), the operator of the seeshare.io website and the seeshare security scanning service (together, the “Service”). By creating an account, purchasing a subscription or scan credit, running a scan, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

1. What the Service Is — and Is Not

seeshare is an automated tool that performs point-in-time evaluations of the security posture and configuration of websites you designate (each a “Target”). A scan reflects only the observable state of a Target at the moment the scan ran, as seen by our automated tooling. It is a snapshot, not a continuous assessment.

You acknowledge and agree that the Service:

  • does not monitor Targets in real time and does not detect events that occur between scans;
  • does not prevent, block, deter, or stop attacks, intrusions, malware, or other malicious activity by any party. seeshare is an evaluation tool only. It provides no firewall, filtering, remediation, incident-response, or protective function of any kind, and we make no promise that use of the Service will stop, reduce, or discourage the actions of bad actors;
  • does not and cannot identify every vulnerability, misconfiguration, or risk affecting a Target. Automated scanning has inherent limits. Results may contain false positives (issues reported that do not exist) and false negatives (issues that exist but are not reported);
  • is not a certification, audit, warranty, or guarantee of security, nor a determination that a Target is or is not compliant with any law, regulation, or standard (including GDPR, U.S. state privacy laws, PCI DSS, HIPAA, or any other framework). Compliance-related scan output is informational only and is not legal advice;
  • does not repair, patch, or remediate anything. Any recommendations produced by the Service are general suggestions that you implement at your own risk and should validate with qualified professionals.

A scan score, grade, or “pass” result does not mean a Target is secure, and no output of the Service should be relied upon as an assurance that a Target will not be compromised.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for your account credentials and for all activity under your account, including activity by team members or clients you give access to. Notify us promptly at support@seeshare.io of any unauthorized use.

3. Authorization to Scan; Your Responsibility for Targets

Security scanning of systems you are not authorized to test may violate law, including computer misuse and anti-hacking statutes. By adding a Target or starting a scan, you represent and warrant, each time, that:

  • you own the Target, or you have obtained the express prior authorization of the Target’s owner and operator (and of any hosting provider whose terms require it) to perform automated security scanning of the Target, including active scanning where your plan or settings enable it;
  • your scanning of the Target does not violate any law, contract, or third-party right; and
  • you will maintain records of that authorization and provide them to us on request.

We do not verify ownership or authorization. Responsibility for lawful scanning rests entirely with you. We may refuse, suspend, or cancel any scan or account at our discretion, including where we suspect unauthorized scanning, but we have no obligation to police your use, and our failure to act is not a waiver.

Certain features (for example, network port scanning) require an additional explicit consent step in the product. Recording that consent does not shift any responsibility to us; it is part of your own authorization trail.

4. Scan Traffic and Effects on Targets

Scans generate automated network traffic to the Target. Depending on your plan and settings, scans may be passive (observation of responses) or active (requests that probe for vulnerabilities, which can include attack-style test traffic). Active scanning of any system carries inherent risk, including degraded performance, triggering of security alerts or rate limits, unintended state changes, or, in rare cases, service disruption of the Target. You accept all risk arising from scan traffic to Targets you designate, and you are solely responsible for scheduling scans appropriately, maintaining backups, and notifying anyone who operates or monitors the Target.

5. Acceptable Use

You will not, and will not permit anyone else to:

  • scan any system without the authorization described in Section 3;
  • use the Service, or any scan output, to plan, facilitate, or carry out an attack on, or unauthorized access to, any system, or otherwise for any unlawful, harmful, or fraudulent purpose;
  • probe, scan, disrupt, or attempt to gain unauthorized access to the Service itself, other customers’ data, or our infrastructure;
  • resell, sublicense, or provide the Service to third parties except as expressly permitted by your plan (for example, white-label reporting for your own clients);
  • circumvent usage limits, scan quotas, or payment requirements;
  • reverse engineer the Service except to the extent this restriction is prohibited by law; or
  • use the Service to develop a competing product.

6. Scan Results, Reports, and Share Links

Scan results and reports are provided for your internal use and for sharing with the owner of the relevant Target. Scan results can reveal sensitive information about a Target’s weaknesses. If you enable a share link, anyone who obtains the link can view the report without logging in. You are solely responsible for deciding whether to create share links, whom you give them to, setting appropriate expirations, and revoking them. We are not responsible for any consequence of a report being accessed via a share link you created.

7. AI-Generated Content

Some features use artificial-intelligence models (including third-party model providers) to summarize, correlate, or explain scan data. AI-generated output is probabilistic and may be incomplete, inaccurate, or wrong, including in ways that overstate or understate risk. AI output is provided for convenience only, does not expand anything the Service promises in Section 1, and must not be relied on as a security assessment, legal advice, or a substitute for professional judgment.

8. Fees, Billing, and Refunds

Paid plans and one-time scan credits are billed through our payment processor (Stripe) at the prices presented at checkout. Subscriptions renew automatically each billing period until cancelled; cancellation takes effect at the end of the current period. Except where required by law, all fees are non-refundable, including for partially used periods, unused scan credits, and dissatisfaction with scan results. If a payment is refunded, reversed, or disputed, we may revoke associated unused scan credits and suspend the account. We may change prices prospectively with notice; continued use after a price change takes effect constitutes acceptance.

9. Intellectual Property

We own the Service, including its software, scanning methodology, scoring, and report formats. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. You retain your rights in materials you provide (such as your branding used in white-label reports); you grant us a license to host and process them solely to provide the Service. We may use aggregated and de-identified data derived from the Service to operate, improve, and promote the Service.

10. Third-Party Services

The Service depends on third-party infrastructure, scanning engines, and model providers. We are not responsible for third-party services, and the Service may be affected by their availability or changes. Your use of any third-party service (including Stripe’s payment terms) is governed by that third party’s terms.

11. Suspension and Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate the Service or your account at any time, with or without cause, including for suspected violation of these Terms, suspected unauthorized scanning, non-payment, or legal risk. Upon termination we may delete your data after a reasonable period. Sections that by their nature should survive (including Sections 1, 3, 4, and 12–16) survive termination.

12. Disclaimer of Warranties

THE SERVICE, ALL SCAN RESULTS, SCORES, REPORTS, RECOMMENDATIONS, AND AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL IDENTIFY ANY OR ALL VULNERABILITIES, THAT SCAN RESULTS WILL BE ACCURATE OR COMPLETE, THAT ANY TARGET IS OR WILL REMAIN SECURE, OR THAT THE SERVICE WILL PREVENT ANY SECURITY INCIDENT, DATA BREACH, OR LOSS. NO ADVICE OR INFORMATION OBTAINED FROM US OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL SEESHARE OR ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (B) WE WILL HAVE NO LIABILITY WHATSOEVER FOR (i) ANY SECURITY INCIDENT, ATTACK, INTRUSION, DATA BREACH, OR OTHER ACT OF ANY THIRD PARTY AFFECTING A TARGET OR YOUR SYSTEMS, WHETHER OR NOT A SCAN DID OR COULD HAVE IDENTIFIED THE RELATED WEAKNESS, (ii) ANY VULNERABILITY OR ISSUE THE SERVICE DID NOT DETECT, (iii) ANY ACTION YOU OR OTHERS TAKE OR DO NOT TAKE IN RELIANCE ON SCAN RESULTS, REPORTS, OR AI OUTPUT, (iv) YOUR SCANNING OF ANY TARGET, INCLUDING UNAUTHORIZED SCANNING AND ANY EFFECT OF SCAN TRAFFIC ON A TARGET, AND (v) ANY DISCLOSURE OF A REPORT THROUGH A SHARE LINK; AND (C) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (WHICH, IF YOU USE THE SERVICE WITHOUT PAYMENT, IS ZERO DOLLARS ($0)).

THE EXCLUSIONS AND LIMITS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. THE ALLOCATION OF RISK IN SECTIONS 12 AND 13 IS AN ESSENTIAL BASIS OF THE BARGAIN AND IS REFLECTED IN THE PRICING OF THE SERVICE.

14. Indemnification

You will defend, indemnify, and hold harmless seeshare and its officers, members, employees, and contractors from and against all claims, demands, investigations, damages, fines, penalties, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your scanning of any Target, including any claim that scanning was unauthorized or unlawful or that scan traffic harmed a system; (b) your use or disclosure of scan results, reports, or share links; (c) your violation of these Terms or of any law or third-party right; or (d) any dispute between you and a Target owner, your client, or any other third party.

15. Dispute Resolution; Arbitration; Class Waiver

Before filing a claim, you agree to contact us at support@seeshare.io and attempt in good faith to resolve the dispute informally for 30 days. Except for small-claims matters and claims for injunctive relief relating to intellectual property or unauthorized use of the Service, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in English, by a single arbitrator, and may proceed remotely. You and seeshare each waive the right to a jury trial and the right to participate in a class, collective, consolidated, or representative action. Any claim must be brought within one (1) year after it accrues, or it is permanently barred, to the extent permitted by law.

16. Governing Law

These Terms are governed by the laws of the State of Nebraska, without regard to conflict-of-laws rules. For matters not subject to arbitration, the state and federal courts located in Nebraska have exclusive jurisdiction, and you consent to personal jurisdiction there.

17. Changes to the Service and These Terms

We may modify or discontinue any part of the Service at any time. We may update these Terms by posting a revised version with an updated “Last updated” date; material changes may also be announced by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance.

18. General

These Terms, together with our Privacy Policy and any order or checkout terms, are the entire agreement between you and seeshare regarding the Service. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Nothing in these Terms creates a partnership, agency, or fiduciary relationship. You will comply with applicable export-control and sanctions laws in using the Service.
